General Notes:
- Original total of 34 SP/SSW units, numbered in two groups; SP 7240-7247 and SSW 7248-7273; 32 units went to UP at merger; SP retired two units (SSW 7258 and 7267) prior to the merger.
- Due to production schedule difficulties and delayed financial arrangements, these two groups of former SP and SSW units suffered a mix up of frames while being built. The builder's serial numbers on the builder's plates do not match the units' frame numbers, as shown in the column above. (See LN II, 179-1)
- Assigned UP 5210-5241 in September 1997, two units (UP 5217 and 5236) renumbered; assigned UP 1310-1341 in December 1999; none renumbered prior to lease expiration and return to owner.
Notes:
- The lease on all 32 units expired on 31 March 2000; 31 of the 32 units (except SSW 7249) were retired by UP on 7 April 2000 and moved by the owner/lessor during April 2000 for storage to National Railway Equipment at Silvis, Illinois
- UP 5217 (ex SP 7247, assigned UP 1317) was the first unit in this group to be repainted to Union Pacific, completed on 21 June 1997.
- SSW 7249 (assigned UP 1319) was wrecked in a grade crossing accident on 12 November 1999 while in local service on train LOH43-11, operating out of Kaiser, California. Following the wreck, SSW 7249 was moved first to Taylor Yard in Los Angeles, then to North Little Rock, Arkansas, in April 2000 for repair. The unit had a bowed frame, side sill damage, a shifted prime mover, and damaged end sills and end sheets, along with a damaged draft gear pocket. There was some delay before repairs could be completed due to the insurance settlement from the wreck. A settlement was reached and the unit was repaired at North Little Rock and returned to the owner, with the above 7 June 2000 retirement date. It was moved to VMV Enterprises at Paducah, Kentucky, on 2 June 2000.

- Part of a total of 65 SP/SSW units (20 for SSW and 45 for SP) to UP at merger, numbered SP 7100-7138, SSW 7274-7293, and SP 7294-7299.
- Built as standard GP40s in the period May 1966 through December 1971 for the owners shown in the "First Number" column, below; all were remanufactured as GP40M-2s in November 1990 through June 1991 by Morrison Knudsen at their shops in Boise, Idaho, and Mountaintop, Pa.
- All 65 units were rebuilt by MK with PTC (Positive Traction Control) wheel-slip control system, along with SP-standard features such as roof-mounted beacon lights, air conditioning, ditch lights, snowplow, and improvements to the cab interiors, along with having dynamic braking added to nine units (eight former MKT units and one former Rock Island unit) not originally equipped with the feature.

General Notes:
- Total of two SP units went to UP at merger, numbered SP 7601 and 7602.
- Built as SP 3198 and 3199, GP40P-2 passenger units for commuter service in the San Francisco area. California's Department of Transportation took over the San Francisco commute service as CalTrain, a public agency, in June 1985; both units (along with SP 3197) were converted to freight units by removal of their steam generators and application of larger fuel tanks, renumbered to SP 7601 and 7602 (SP 3197 became SP 7600), and reassigned to freight service, retaining the enclosures from their now-removed steam generators.
- UP 1373 and 1375 are longer than a standard GP40-2 (62 feet, 8 inches versus 59 feet 2 inches), and were equipped with steam generators in a special enclosure at the rear of the each unit's carbody.
- Assigned UP 5273 and 5274 in September 1997, not renumbered; assigned UP 1373 and 1374 in December 1999.

- UP 1375, a GP40P-2, was renumbered from SP 7602 on 28 August 2001; originally assigned UP 1374 in the December 1999 renumber plan, but UP 1374 was still active as an MP15AC yard switch unit; the UP 1375 number was originally assigned to standard SP GP40-2 7608.
